Oshkosh Corp, parent of the JLG access equipment brand, has retained proxy solicitor Innisfree M&A Inc, of New York, in the face of activist shareholder Carl C Icahn's campaign
(Forkliftaction.com News #539).
On 18 November, Oshkosh advised shareholders how to deal with the receipt of multiple proxy cards and how to revoke a proxy before the corporation's 2012 annual meeting at a date and place yet to be set.
The corporation nominates 13 candidates for 13 board of director positions and, on 15 November, named John S Shiely as a replacement candidate for incumbent director John J Hamre, who will not stand for reelection.
The Icahn Group announced its slate of six candidates on 4 November.
"The Icahn Group nominees have not been endorsed by our board," Oshkosh tells shareholders. "We urge you not to sign or return any proxy card you may receive from the Icahn Group. Our board urges you to sign, date and return the enclosed white proxy card and vote for all of our board's nominees for director."
