Oshkosh acquiring JLG

I'm referring to FLA newsletter #282

USD 3 billion is quite a big money.

Linde AG, now the Linde Group, expected to sell Linde MH, now Kion, at somewhere 3 to 3.5 billion Euros. Suppose Euro is almost same with USD, these two amounts are in the same region or scale. Is JLG as big as Linde MH?

If Oshkosh to buy shares at USD 28 to total USD 3 billion, the total number of JLG's issued share becomes over 107 million shares. Isn't it far to big?

My guesse, based on a limited knowledge, suggests negative.
